Please read these Terms of Service ("ToS" or "Terms") carefully. The users, subscribers, partners, and viewers ("Users") accept the terms of this ToS by accessing and/or utilizing the grocery services of POTOLO (the "Company"). The Users acknowledge that they agree to these Terms and accept the rights and obligations created by them. These Terms are drafted to outline the legal relationship between the Users and the Company and are designed to comply with applicable laws and standards.
1. INTRODUCTION
1.1 Overview of POTOLO Grocery Services
POTOLO operates an online grocery platform ("Grocery Platform") that enables Users to browse grocery product listings, place orders for grocery items from independent grocery partners, schedule deliveries or pickups, make payments, and manage orders. POTOLO operates as a technology intermediary connecting Users with independent grocery partners who sell products through the platform.
POTOLO does not itself purchase, store, package, or sell grocery items unless explicitly stated. Independent grocery partners are responsible for product availability, accuracy of descriptions, product quality, storage, pricing, fulfillment, and delivery.
1.2 Acceptance of Terms
By accessing or using the Grocery Platform, Users agree to be bound by these Terms. If a User does not agree with any portion of these Terms, they must discontinue use of the services.
1.3 Modifications to Terms
The Company reserves the right to modify or update these Terms at any time without prior notice. Updated Terms will be posted on the Grocery Platform. Continued use after any changes constitutes acceptance of the revised Terms.
2. ELIGIBILITY AND ACCOUNT RESPONSIBILITY
2.1 Eligibility
Users must be at least eighteen (18) years old or the age of majority in their jurisdiction to use the grocery services.
2.2 User Accounts
Users who create accounts agree to provide accurate, current, and complete information. Users are responsible for maintaining the confidentiality of their login credentials and all activities under their account.
2.3 Prohibited Uses
Users agree not to engage in unlawful or prohibited conduct, including but not limited to fraudulent transactions, unauthorized access attempts, misuse of promotions, or interference with platform operations.
3. PRODUCTS, ORDERS, AND FULFILLMENT
3.1 Grocery Product Listings
Grocery partners on the platform list products, prices, availability, and descriptions. POTOLO does not guarantee the accuracy, completeness, or legality of those listings.
3.2 Order Placement and Acceptance
Placing an order constitutes an offer to purchase the listed grocery items. Orders are confirmed upon payment authorization and partner acceptance.
3.3 Substitutions
When items are unavailable, grocery partners may offer substituted items. Users may accept or decline substitutions where permitted.
3.4 Pricing, Fees, and Taxes
Prices, taxes, delivery fees, and service charges are shown at checkout. Prices are subject to change without notice.
3.5 Delivery and Pickup
Delivery and pickup times are estimates. Actual fulfillment times may vary based on demand, availability, logistics, weather, and partner capacity.
4. PAYMENT TERMS
4.1 Accepted Payment Methods
The platform supports multiple payment methods, including credit cards, debit cards, digital wallets, and cash on delivery (where available). Users must ensure that payment information is accurate and that sufficient funds are available.
4.2 Payment Security
The Company employs security measures to protect payment information, but cannot guarantee complete security. Unauthorized access or disclosure is not the responsibility of the Company.
5. CANCELLATIONS, RETURNS, AND DISPUTES
Refunds, cancellations, returns, and disputes are governed by the grocery partner's policies and applicable law. Perishable items may not be eligible for returns except as required by law or in cases of incorrect or damaged delivery.
6. COMMUNICATIONS
By using the Grocery Platform, Users consent to receive essential transactional communications such as order confirmations, delivery notifications, and account alerts. Promotional communications are optional and may be opted out in compliance with applicable laws and 10DLC requirements.
7. INTELLECTUAL PROPERTY
All content, trademarks, logos, and software on the Grocery Platform are owned by POTOLO or its licensors. Unauthorized use is prohibited. Users grant the Company a license to use any content they submit, including reviews and ratings.
8. LIMITATION OF LIABILITY AND INDEMNIFICATION
To the fullest extent permitted by law, POTOLO is not liable for indirect, incidental, or consequential damages arising from the use of the Grocery Platform, product quality, delivery issues, or partner conduct. Users agree to indemnify and hold POTOLO harmless for claims arising from misuse of the platform or violations of these Terms.
9. SUSPENSION AND TERMINATION
POTOLO may suspend or terminate access to the Grocery Platform at its discretion for violations of these Terms or prohibited conduct.
10. GOVERNING LAW
These Terms are governed by the laws of the United States, State of New Jersey. Disputes shall be resolved in courts located in New Jersey unless otherwise required by applicable laws.
